Affiliate & Referral Policy

This Affiliate & Referral Policy ("Policy") governs your participation in the Admissio affiliate and referral programme (the "Program"), through which you can earn commissions or referral rewards for introducing new customers to Admissio ("Admissio", "we", "us", or "our"). The Program covers both formal affiliates who promote Admissio on an ongoing basis and individuals who refer others on a casual basis.
By enrolling in, accessing, or participating in the Program, you agree to be bound by this Policy, by our Terms of Use , and by our Privacy Policy , each of which is incorporated into this Policy by reference. If you do not agree, you must not participate in the Program.
If you participate on behalf of a business or other organisation, you represent and warrant that you have the authority to bind that organisation to this Policy, and references to "you" include that organisation.
1. Definitions
In this Policy, the following capitalised words have the meanings given below:
- "Affiliate" means a person or organisation we approve to promote Admissio on an ongoing basis in exchange for commissions under the Program.
- "Referrer" means a person who introduces a potential customer to Admissio on a casual basis in exchange for a referral reward.
- "Participant" means any Affiliate or Referrer, and "you" refers to a Participant.
- "Referral Link" means the unique tracking link, code, or other identifier we issue to you so that referrals can be attributed to your account.
- "Referred Customer" means a new customer who reaches Admissio through your Referral Link and who did not already have an account or an active relationship with us.
- "Qualified Referral" means a Referred Customer who completes the qualifying action set out in the Program dashboard or your enrolment confirmation (for example, subscribing to a paid plan and remaining a customer through the applicable validation period).
- "Commission" means the amount or reward payable to you for a Qualified Referral, as set out in the Program dashboard or your enrolment confirmation.
- "Attribution Window" means the period after a person first clicks your Referral Link during which a resulting sign-up is attributed to you.
2. Acceptance of this Policy
By enrolling in or participating in the Program, you confirm that you have read, understood, and agree to be bound by this Policy, our Terms of Use , and our Privacy Policy . If you do not agree, you must not participate in the Program.
Where we have entered into a separate written affiliate or partnership agreement with you that conflicts with this Policy, that separate agreement prevails to the extent of the conflict.
3. Eligibility and enrolment
To participate, you must be able to form a legally binding contract, must not be barred from participating under applicable law, and must complete enrolment in the Program. We may approve or decline any application at our discretion, and approval does not create any employment, agency, partnership, or joint-venture relationship between you and Admissio.
When you enrol, you agree to provide accurate, current, and complete information, including the payout details we need to pay you, and to keep that information up to date. We may refuse, suspend, or terminate your participation where we reasonably believe the information provided is inaccurate or that your participation would breach this Policy.
4. Referral Links and tracking
On enrolment we issue you a Referral Link. Referrals are attributed to you only where the Referred Customer reaches Admissio through your Referral Link and signs up within the Attribution Window. Unless stated otherwise in the Program dashboard, the Attribution Window is 90 days from the first click of your Referral Link.
Attribution depends on tracking technologies such as cookies, and we cannot guarantee that every referral will be tracked - for example, where a person blocks or clears cookies, uses a different device or browser, or where another Participant's link was clicked more recently. Where more than one Participant could be credited, the most recent qualifying click within the Attribution Window prevails. Our records are the definitive basis for determining attribution and Qualified Referrals.
You must not manipulate, intercept, or interfere with our tracking, and you must not attempt to attribute to yourself any sign-up that did not genuinely result from your own promotional activity.
5. Commissions and referral rewards
You earn a Commission for each Qualified Referral, at the rate or amount set out in the Program dashboard or your enrolment confirmation at the time the referral qualifies. We may change Commission rates and the qualifying criteria from time to time; any change applies prospectively to referrals that qualify after the change takes effect and does not affect Commissions you have already earned.
A Commission is only earned once a referral becomes a Qualified Referral and any applicable validation period has passed. Commissions are not payable for sign-ups that are cancelled, refunded, charged back, fraudulent, or otherwise reversed, and we may deduct or reverse any Commission that was credited in respect of such a sign-up.
You are not entitled to a Commission for referring yourself, your own organisation, or accounts you control, or for referrals that breach this Policy.
6. Payment terms
We pay earned Commissions on a monthly basis, in arrears, for Commissions that have cleared the applicable validation period by the end of the relevant month. Unless stated otherwise in the Program dashboard, a minimum balance of USD 50 (or its local equivalent) must be reached before a payout is made; balances below the minimum roll over to the next payout period.
Payouts are made using the method and details you provide at enrolment, such as bank transfer or mobile money (for example M-Pesa or mobile-wallet transfers, where available in your country). You are responsible for keeping your payout details accurate; we are not responsible for payments that fail or are misdirected because of incorrect details you provided.
Commission amounts are stated exclusive of any taxes. You are solely responsible for determining, reporting, and paying any taxes, duties, or similar charges arising from Commissions you receive, and for any withholding required by law. Where we are required by law to withhold tax from a payout, we may do so and remit it to the relevant authority.
If your account shows no qualifying activity for an extended period, or if we are unable to pay you because of missing or invalid payout details after reasonable attempts to contact you, we may, to the extent permitted by law, treat the outstanding balance as forfeited.
7. Prohibited conduct
In promoting Admissio and participating in the Program, you must not:
- send unsolicited bulk messages, spam, or any communication that breaches anti-spam or marketing laws;
- make false, misleading, exaggerated, or unsubstantiated claims about Admissio, its features, pricing, or results;
- bid on our trademarks, brand names, or close variations of them in paid search, or otherwise use them in a way that misleads as to source or sponsorship;
- register domain names, social media handles, or app listings that incorporate or are confusingly similar to our brand names;
- self-refer, or arrange for referrals to or from accounts you own or control, in order to generate Commissions;
- use bots, fake traffic, incentivised clicks, cookie stuffing, or any other technique designed to generate referrals or clicks that are not genuine;
- offer unauthorised rebates, cashback, or coupons, or represent yourself as Admissio or as an employee or official agent of Admissio;
- promote Admissio through sites or channels that contain unlawful, infringing, deceptive, or otherwise objectionable content; or
- participate in any way that breaches this Policy, our Terms of Use , or applicable law.
We may investigate any suspected breach and may take any action we consider appropriate, including withholding or reversing Commissions, suspending or terminating your participation, and reporting activity to the relevant authorities.
8. Brand and marketing guidelines
We grant you a limited, non-exclusive, non-transferable, revocable licence to use our name, logos, and approved marketing materials solely to promote Admissio under the Program and in accordance with any brand guidelines we provide. You must not modify our marketing materials or use them in any way that is misleading or that damages our reputation.
You must clearly and conspicuously disclose your relationship with Admissio wherever required by applicable law or advertising standards, for example by indicating that your links are affiliate or referral links. This licence ends automatically when your participation in the Program ends, and we may withdraw or update approved materials at any time.
9. Confidentiality and data protection
You may receive non-public information about Admissio, the Program, or its performance. You must keep that information confidential and use it only to participate in the Program, and you must not disclose it except where required by law.
Our collection and use of your personal information in connection with the Program is described in our Privacy Policy . You must comply with applicable data protection and privacy laws in any personal information you collect or process when promoting Admissio, including obtaining any consents required for your marketing activities.
10. Term and termination
This Policy applies from the time you enrol in the Program and continues until terminated. You may leave the Program at any time by closing your Program account or notifying us. We may suspend or terminate your participation, or the Program as a whole, at any time, with or without cause, on reasonable notice, and immediately where we reasonably believe you have breached this Policy or applicable law.
On termination, your right to use your Referral Link and our marketing materials ends, and you must stop holding yourself out as a Participant. Subject to this Policy, we will pay any Commissions that were validly earned before termination, except where termination results from your breach or fraud, in which case we may withhold or reverse unpaid Commissions to the extent permitted by law. Sections that by their nature should survive termination (including those on confidentiality, intellectual property, disclaimers, limitation of liability, and governing law) will survive.
11. Changes to this Policy
We may update this Policy from time to time, for example to reflect changes to the Program, to our business practices, or to legal or regulatory requirements. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice through the Program or by other reasonable means.
Your continued participation in the Program after changes take effect constitutes your acceptance of the updated Policy. If you do not agree to the updated Policy, you must stop participating in the Program.
12. Disclaimers and limitation of liability
The Program is provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by applicable law. We do not guarantee any particular level of referrals, Commissions, earnings, or that the Program will continue to be offered.
To the maximum extent permitted by applicable law, Admissio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or anticipated Commissions, arising out of or in connection with the Program or this Policy. To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Program or this Policy will not exceed the total Commissions paid to you in the twelve months immediately preceding the event giving rise to the liability. Nothing in this Policy excludes or limits any liability that cannot be excluded or limited under applicable law.
13. Governing law and dispute resolution
This Policy, and any dispute or claim arising out of or in connection with it or its subject matter (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of Portugal, without regard to its conflict-of-law rules.
The parties will first try to resolve any dispute informally and in good faith. If the dispute is not resolved within 30 days of one party giving the other written notice of it, the parties will attempt in good faith to resolve it through mediation administered by a recognised mediation body in Portugal. If the dispute is still not resolved within 30 days after a request for mediation is made, either party may commence court proceedings, and the parties submit to the exclusive jurisdiction of the courts of Lisbon, Portugal. At any time, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information, without first following the steps above. This section does not deprive a consumer of the protection of mandatory provisions of the law of their place of residence.
